The website, software application, and related services known as "MediApps" have been developed and are operated by MediApps and our affiliates By accessing or using MediApps, you agree to these Terms of Use ("Terms"). You confirm that you possess the power and authority to enter into, be bound by, and fulfill the obligations under these Terms. You must not use MediApps if you do not agree to these Terms.

1. Accounts and Registration

1.1 Account Requirements

To access MediApps, you must register for and maintain an account ("Account"). By creating an Account, you confirm that you:

  • Possess the legal right and ability to enter into a legally binding agreement with us; and

  • Agree to use MediApps only in accordance with these Terms and our Usage Policy.

1.2 Registration Process

When registering and activating your Account, you must provide information, including personal information, which we collect to operate our business, provide MediApps, and maintain a safe and secure environment for all users. Required information includes:

  • Full name

  • Employment details

  • Contact information (email address and phone number)

We will use and disclose this information for operating our business, MediApps, related services, and as described in our Privacy Policy.

1.3 Account Security

When registering your Account, you may choose between Single Sign-On (SSO) or creating your own password. You are responsible for:

  • Keeping your credentials and password secure

  • All activity conducted through your Account on MediApps

2. Services

2.1 MediApps Overview

MediApps facilitates your delivery of healthcare services as a registered medical practitioner by providing functions described on our website.

2.2 Updates to Functionality

We may, at our sole discretion:

  • Change or update MediApps or its functions; or

  • Introduce new functions

Such updates or new functions may be subject to additional terms and fees as notified to you by MediApps.

2.3 Term

These Terms commence when you first access MediApps and continue until terminated by you or MediApps in accordance with these Terms.

3. Privacy and Data Use

3.1 Privacy Obligations

Each party must comply with applicable privacy laws when handling personal information under these Terms.

You must ensure that you hold all necessary authorizations and current consents from individuals (including patients) to disclose their personal information (including sensitive information) to MediApps. This enables MediApps to collect, use, store, and disclose personal information for operating MediApps as described in our Privacy Policy, without infringing any law or individual rights (including intellectual property rights, moral rights, or privacy rights).

3.2 Personal Information Collection Notice

We collect, store, use, and disclose personal information about you and patients to provide you with access to MediApps and for purposes outlined in our Privacy Policy.

Our Privacy Policy explains:

  • How we store and use personal information, and how you may access and correct it

  • How to lodge a complaint regarding information handling

  • How we handle complaints

By providing personal information to us, you consent to its collection, use, storage, and disclosure as described in these Terms and our Privacy Policy.

We may disclose personal information to third parties that help us deliver services or improve MediApps (including software developers, IT and communications suppliers, and business partners) or as required or permitted by law.

If you do not provide required information, we cannot provide MediApps or related services to you.

3.3 Use of De-Identified Information

MediApps may de-identify information, including health information, made available through MediApps and use or disclose such de-identified information for:

  • Making relevant functionality available to you; and

  • Purposes described in our Privacy Policy ("De-identified Use")

You acknowledge that De-identified Use may involve disclosure of de-identified information to third parties as part of making MediApps and certain functionality (including Third Party Functionality) available to you.

MediApps will take reasonable steps to ensure that de-identified information cannot be reverse-engineered, re-identified, or linked back to you or patients by third parties.

4. Use of MediApps

4.1 Your Obligations

You must:

  • Comply with all applicable laws and professional obligations in connection with these Terms and your use of MediApps and related services

  • Receive consent from patients to share personal and sensitive information with MediApps if mandatory in your jurisdiction

  • Cooperate with and comply with all reasonable directions from MediApps regarding your use of the platform

  • Comply with MediApps's Platform Usage Policy as notified to you

  • Immediately notify MediApps if you become aware of: 

    • Any actual or potential defect in MediApps or related services

    • Any complaint reported by others in connection with MediApps

  • Comply with these Terms in full at all times

You must not:

  • Distribute, sublicense, or otherwise transfer all or any part of MediApps to any other person

  • Grant any security interest over MediApps

  • Attempt to disassemble, decompile, or reverse engineer the platform, except as permitted by applicable copyright laws

  • Alter, customize, modify, or create derivative works of MediApps

  • Expose MediApps or any data to reasonably avoidable cyber risks

  • Remove, obliterate, or alter any proprietary notices on MediApps

  • Supply inaccurate data to MediApps or any other person through MediApps

  • Take any action that would adversely impact the reputation or standing of MediApps

  • Take any action that is unlawful or prohibited by applicable laws

4.2 Third-Party Functionality

MediApps's functionality may involve software, data, applications, services, or content provided by third parties ("Third Party Functionality").

You agree to comply with any reasonable additional terms notified to you by MediApps regarding the use of Third Party Functionality or its outputs. If you do not agree to these terms, we cannot offer MediApps and related services to you and may need to cancel or terminate your Account, or you may cancel or terminate your Account.

4.3 Records

You will maintain accurate and complete records and documents related to your interaction with and use of MediApps and related services, including as required by law.

5. Intellectual Property

5.1 Our Intellectual Property Rights

Unless otherwise indicated, we own or license from third parties all rights, title, and interest (including copyright, designs, patents, trademarks, and other intellectual property rights) in MediApps and any material made available through MediApps (including all text, graphics, logos, audio, and software).

To enable MediApps to use your feedback for business purposes and platform improvement, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable license and authority to use feedback you provide. This license allows us to implement improvements to MediApps from your suggestions, enhancement requests, recommendations, and information you provide (including any information that is your intellectual property) without restriction and without payment.

5.2 License to MediApps

MediApps grants you a limited, non-transferable, non-exclusive license to use MediApps for the duration of these Terms solely for facilitating the delivery of healthcare services to patients. You must not use MediApps for any other purpose, or otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, commercially exploit, create derivative works from, transfer, or sell any MediApps content, software, products, or services.

5.3 License to Your Materials

You grant MediApps a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable license and authority to use de-identified material you provide or make available to MediApps for the purpose of making MediApps functionality available to you and as otherwise permitted by these Terms.

6. Confidential Information

You must not disclose any content or confidential information communicated by us, or otherwise learned, accessed, or generated as a result of entering into these Terms or using MediApps or receiving related services ("Confidential Information"), except:

  • To your personnel who have a need to know

  • If disclosure is required by law

  • If the recipient has independently obtained such information from a third party (other than via a breach of confidence)

Information in the public domain (other than as a result of a breach of confidence) is not Confidential Information.

You must hold Confidential Information in strict confidence and employ all reasonable steps to protect it from unauthorized or inadvertent disclosure, including all steps you take to protect your own proprietary or confidential information. You must promptly notify us of any actual or suspected security breach related to MediApps, related services, or your access to or use of MediApps.

7. Limitations

7.1 Technical Requirements

You acknowledge that you are responsible for ensuring your information technology and other systems can work in conjunction with MediApps.

7.2 No Professional Medical or Healthcare Advice

You agree that your use of MediApps and related services is solely for supporting your administrative processes. You must exercise all necessary final professional and medical decisions regarding a patient's diagnosis, advice, or treatment.

You agree and acknowledge that MediApps and related services do not:

  • Constitute or claim to be a medical device

  • Constitute professional medical or healthcare advice, diagnosis, or treatment recommendation, or replace professional medical advice

  • Directly assess, maintain, or improve the physical, mental, or emotional health of a patient

  • Directly diagnose or treat a patient's illness or disability

You agree that you must not frame or suggest that:

  • MediApps constitutes professional medical or healthcare advice, diagnosis, or treatment recommendation, or that it can be relied upon as professional medical advice (including any representation or warranty regarding any treatment, action, suitability, or application of medication or preparation)

  • MediApps can be relied upon without independent consideration and confirmation by a qualified medical practitioner

We make no representations or warranties regarding any treatment, action, suitability, or application of medication or preparation by you or any person based on MediApps. In no circumstances will we be liable for any direct, indirect, consequential, special, exemplary, or other damages arising from the same.

7.3 Notification of Adverse Events

You must immediately notify MediApps if you become aware of:

  • Any problem or incident associated with MediApps that has caused or could cause harm to patients or others

  • Any deficiencies or potential deficiencies in safety, quality, efficacy, performance, or presentation of MediApps

8. Suspension and Termination

8.1 Suspension

Where practicable, we will provide notice of any outages or suspensions of MediApps and communicate this within a reasonable time. We reserve the right to restrict, suspend, or terminate your access to MediApps without notice (although we will provide prior notice wherever practicable). To the maximum extent permitted by law, we will not be responsible for any loss, cost, damage, or liability that may arise as a result.

8.2 Termination

You may terminate your use of MediApps (and these Terms) by emailing contact@medi-apps.ai or through your Account settings. MediApps will not refund any fees or other amounts you have paid.

We may terminate these Terms if:

  • We reasonably believe you have breached any of these Terms

  • We withdraw MediApps from market, provided you will be entitled to a pro rata refund of fees paid

  • We consider it reasonably necessary to comply with applicable law

When we terminate these Terms, except as expressly provided or required by law, we will not refund any fees or other amounts you have paid.

9. Liability

9.1 Disclaimer

You acknowledge that MediApps functionalities involve the use of artificial intelligence and machine learning. While MediApps seeks to ensure accuracy, due to the probabilistic and rapidly evolving nature of such functions, MediApps may in certain circumstances be inaccurate, incomplete, or inappropriate.

While we continue improving the accuracy, reliability, and safety of MediApps, it is your responsibility to evaluate the accuracy of any MediApps content as appropriate, including by undertaking manual review of MediApps content to ensure it appropriately reflects the information you have inputted before such content is further used or relied upon.

MediApps, MediApps content, and related services are provided "as is" without warranty or guarantee of any kind. We will not be liable for any direct or indirect loss, damage, or expense – irrespective of the manner in which it occurs – which may be suffered:

  • Due to your use of MediApps, related services, or information or materials contained on or made available through it (including MediApps content)

  • As a result of inaccessibility of MediApps, MediApps content, or related services (including any loss, corruption, or destruction of your material)

  • As a result of unauthorized access to or alteration of data or materials entered into or produced by MediApps or related services

  • Due to communications, performance, security, or data corruption problems, disconnection of transmission services, or failures or delays in transmission connected with telecommunication services and other means of transmission provided by third parties

  • As a result of certain information or materials contained on MediApps or through related services (including any MediApps content) being incorrect, incomplete, or not up-to-date

  • In connection with interference with or damage to your computer systems occurring in connection with the use of MediApps or a linked site

9.2 MediApps Liability

Without limiting clause 9.1, to the extent permitted by law, the aggregate liability of MediApps for loss sustained by you in connection with these Terms (whether under statute, in contract, in tort including for negligence, or otherwise) during any consecutive twelve-month period from the commencement of these Terms and from any anniversary of the commencement date is limited to the fees which MediApps is entitled to in relation to your use of MediApps and related services during that period.

10. Updates to Terms

We may, at our sole discretion, modify, update, or replace any or all of these Terms from time to time by providing reasonable and, where practicable, 30 days' prior written notice of the update, including details of relevant changes.

This notice may be provided via notification on MediApps or other methods. Where the change materially and detrimentally affects:

  • Your use of MediApps

  • The function, receipt, or use of related services

  • Your rights and obligations under these Terms

You will be entitled to terminate these Terms and your Account (including your access to MediApps and related services) through your Account settings on MediApps or by emailing contact@medi-apps.ai. In such circumstances, you will be entitled to a pro rata refund of any relevant subscription fees paid in advance.

Continued use of MediApps following the reasonable notice period and implementation of the update shall be deemed acceptance of the new updated Terms.

11. Relationship of Parties

Each party is acting in the capacity of independent contractor. These Terms do not constitute any partnership, trust, agency, joint venture, or employment relationship between the parties.

Neither party has the authority to act, contract, or incur any obligation or responsibility on behalf of the other party except as provided in these Terms.

12. General Provisions

Assignment

Your Account is personal to you. You may not permit any other person to use your Account or transfer, assign, sub-contract, sub-license, or otherwise dispose of any of your interests, rights, or obligations under these Terms.

Force Majeure

If we are partially or wholly precluded from complying with our obligations under these Terms by any event, matter, or circumstance beyond our reasonable control, our obligation to perform will be suspended for the duration of the delay arising from that event, matter, or circumstance, and we will not be liable for failure to perform our obligations.

No Partnership

Nothing in these Terms or any circumstances associated with them or their performance gives rise to any relationship of partnership, principal and agent, or employer and employee. You have no right to assume or create any obligations of any kind, express or implied, in the name of or on behalf of us.

Entire Agreement

These Terms constitute the entire agreement between us relating to the subject matter of these Terms and supersede and cancel any previous agreement, understanding, or arrangement, whether written or oral.

Severability

If any part or provision of these Terms is invalid, unenforceable, or in conflict with the law, the invalid or unenforceable part or provision will be replaced with a provision which, as far as possible, accomplishes the original purpose of the part or provision. The remainder of these Terms will be binding on the parties.

Further Assurances

Each party agrees to do all things and execute all deeds, instruments, transfers, or other documents as may be necessary or desirable to give full effect to the provisions of these Terms and the transactions contemplated by them.
